Terms & Conditions

These terms govern every purchase and use of DaVinci Ghost, the ECU tuning software for Windows sold on this website. By creating an account, paying or using the software you accept them together with the Refund & ECU Policy and the Privacy Policy.

1.Scope & operator

• DaVinci Ghost is a brand operated by TechLT (techlt.net), referred to below as "we" or "the operator". Support and all notices: [email protected].
• Card payments are processed by Stripe on our behalf and appear as TECHLT on your bank or card statement.
• DaVinci Ghost is an independent product, sold only at davinci-ghost.com, with its own interface, logo and Stripe checkout. It has no connection with any other software, website or company using the name "DaVinci" (see the non-affiliation clause).
• These terms apply to the website, the account, the software and every purchase made through them. They prevail over any other document, except mandatory law.

2.Products & licenses

• Test pass (9.99 EUR, one time): one hour of access to the real software, counted from the first login in the app, with 3 tokens. Once per customer.
• Monthly license (39.99 EUR/month) and yearly license (399.99 EUR/year): subscriptions giving 10 tokens a day (1 token = 1 tunable file opened, all solutions included), renewing automatically until cancelled.
• Token levels (one time: 199.99 EUR for 20 tokens/day, 299.99 EUR for 30, 399.99 EUR for 40, 499.99 EUR for 50): raise the daily level of the account they are bought for; they require an active license and are not transferable. They stay active only while the license is renewed without interruption; when the license lapses they are forfeited and a new license starts again at 10 tokens a day.
• PC move (99.99 EUR, one time): re-binds the license to a new PC; the old PC stops working the moment the payment clears.
• Every license is personal, non-exclusive, non-transferable and limited to one PC, bound permanently at the first login. Remote desktop (RDP), virtual machines and other virtual sessions are not supported and may not be used to run the software.
• The software and its analysis engine remain our property. You receive a right of use, not ownership.

3.Professional / B2B use

• DaVinci Ghost is a professional tool for workshops, tuners and technicians. By purchasing you declare that you buy in the course of your trade, business or profession, that you are at least 18 years old, and that you have the technical knowledge to read, modify and flash ECU files.
• Consumer cooling-off or cancellation rights therefore do not apply, save where the law applicable to you makes them mandatory. Delivery is immediate and all sales are final (section 5.1).
• The software is intended solely for testing and educational purposes and for use in off-road vehicles. You are responsible for compliance with the laws and regulations applicable to you and to the vehicles you work on.

4.Price & payment

• Prices are shown in EUR, taxes included where applicable, on the pricing section and at checkout. The price shown at checkout is the price charged.
• Payments are made by card through Stripe, with 3D Secure requested from your bank. We never see or store your card number.
• Stripe issues an invoice or receipt for every payment; you can view and download them from the billing portal on your account page.
• An account is created at checkout with the details and password you enter; you are responsible for keeping them accurate and for the confidentiality of your password.

5.Delivery

• Everything you buy is digital and delivered immediately after Stripe confirms the payment: the license is attached to your account, the download is available on your account page, and tokens or a new daily level are applied automatically.
• Nothing is shipped. If the payment is still processing, the confirmation page shows it and the account is activated as soon as your bank confirms.

5.1Immediate delivery and no cancellation

• At checkout you expressly request immediate delivery of the digital content and services in your order (software, license, tokens). Delivery is complete the moment the payment clears: the license is active on your account and the software is available for download.
• Because the product is digital and delivered instantly, the purchase cannot be cancelled once delivery has begun (download, activation, first login or first processed file) and no cooling-off period applies. All sales are final, as set out in the Refund & ECU Policy.
• If a mandatory cancellation right applies to you under the law of your place of residence and delivery has not begun (no login, no Reg ID bound, no processed file), write to support from the e-mail of your account within the period that law provides.

6.Subscriptions & renewals

• Monthly and yearly licenses renew automatically at the end of each period, at the price in force, until you cancel. A reminder is sent by e-mail 3 days before each renewal.
• You can cancel at any time from your account page (Manage subscription / invoices) or from the app (Info › Upgrade Tokens › Manage subscription). Access continues until the end of the period already paid; there are no partial refunds.
• If a renewal payment fails, the license stops at the end of the paid period until the payment is completed.

7.Acceptable use

The following are prohibited and lead to the permanent closure of the account without refund:

• Reselling, renting, lending or sharing the account, the license or the files produced with it as a service to third parties under our name.
• Sharing login details, using the account from a PC other than the bound one by any means, or using RDP, virtual machines or similar to circumvent the one-PC rule.
• Reverse engineering, decompiling, tampering with the software, its license check or its communication with the analysis engine, or attempting to extract its solutions.
• Creating multiple accounts, in particular to buy the test pass more than once, or providing false identity or payment details.
• Abusing support: threats, insults, repeated demands for refunds contrary to these terms, or using disputes and reviews as leverage (section 8).

8.Reviews & non-disparagement

• Honest reviews, positive or negative, are welcome. We only ask that they describe your real experience.
• Reviews may not be used as leverage: threatening a negative review, a dispute or a public complaint to obtain a refund that these terms do not provide is abuse of support and closes the account.
• Publishing false statements of fact (for example that a payment was not delivered, that the product is a scam, or attributing to us a product we do not sell) results in termination of the account and the submission of our records (purchase, activation, usage logs, correspondence) to the review platform and to the payment provider, and may give rise to legal action.

9.Liability

• The software and the analysis engine are provided "as is". We do not guarantee that a solution exists for every ECU, software version or file, that every solution will behave as expected on every vehicle, or that the service is available without interruption.
• ECU tuning and flashing are carried out by you, with your own tools, at your own risk. A bricked or damaged ECU, a no-start or a limp/fault mode is an inherent risk of the activity itself and is your responsibility, never a defect of the software (see the ECU damage risk clause). Always keep your original backup.
• To the fullest extent permitted by law, our total liability for any claim connected with the software, the website or these terms is capped at the amount you paid us in the 12 months preceding the claim, and we are not liable for indirect or consequential losses (loss of business, profit, data, vehicles or reputation).
• Nothing in these terms excludes liability that cannot be excluded under applicable law.

10.Refund policy

All sales are final once the product has been used. The complete rules for each product, ECU compatibility, license binding, goodwill and the no-affiliation clause are in the Refund & ECU Policy, which forms part of these terms.

11.Chargebacks

• If something is wrong with a charge, write to [email protected] first. Genuine billing errors are corrected quickly.
• A dispute or chargeback filed with your bank instead of contacting support is a breach of these terms: the account and the bound PC are permanently suspended, and the usage evidence of the account (3D Secure authentication, IP and timestamps, policy acceptance, activation, Reg ID, logins and processed files) is submitted to the bank and to Stripe automatically. Details in the Refund & ECU Policy, section 2.2.

12.Governing law

• These terms are governed by the law of the operator's country, and any dispute that cannot be settled amicably through support is submitted to the competent courts of that country, save where mandatory rules give you the right to another forum.
• If any provision of these terms is found invalid, the rest remains in force. Our failure to enforce a provision is not a waiver of it.
• We may update these terms; the date at the top shows the current version. Continued use of the software after an update means you accept the updated terms.
